TERMS & CONDITIONS OF ENGAGEMENT

All services George Design Ltd provides are subject to the following terms and conditions. In these terms and conditions of engagement, George Design Ltd is also referred to as “George Design” or “we.” The client refers to the person or business accepting the terms of this engagement and is also referred to as “you” or “the client.”

ACCEPTANCE

You can agree to these terms and conditions by any of the following methods:

• Submitting the Terms & Conditions of Engagement online form at www.georgedesign.co.nz/terms-and-conditions

• Signing and returning a proposal to George Design

• Paying a project deposit

Please note: Your project is not confirmed in our studio schedule until your deposit has been received. Dates and timeframes are indicative only until payment is made.

PROJECT COST ESTIMATES AND PROPOSALS

Before commencing work on a project, a cost estimate or fixed-price quotation detailing fees will be prepared for your approval. This is based on information you provide at the time of quoting. All estimates and quotations are valid for 14 days from the date issued.

Any work outside the original scope will be charged at $235+GST per hour.

There is a minimum billing time of 4 hours for new projects. Additional time is billed in 15-minute increments.

Additional costs (such as hosting, digital advertising, printing, art licensing, or photography) will be estimated and billed to you separately.

If services are delivered on your premises, a daily rate of $1,780+GST applies.

Travel expenses will be invoiced at:

• $0.95 per kilometre

• $90+GST per hour of travel

• Plus reimbursement of accommodation, flights, or other agreed travel costs

PAYMENT

Invoices are based on the project proposal. Ongoing projects are invoiced on a work-in-progress basis on the last day of each month. A final invoice will be issued upon project completion. Payment is due within 7 days of invoice. Hourly rates are reviewed periodically, and we will notify you of any changes.

COPYRIGHT AND INTELLECTUAL PROPERTY

All design work, strategy, and creative files produced by George Design remain our property until payment has been received in full. Once payment is made, you will own the rights to the completed design files.

You grant George Design permission to showcase work created for you in our portfolio or marketing materials unless this permission is withdrawn in writing.

Proposal documents and presentation videos created by George Design are for internal strategic use only. They may not be shared publicly or reproduced without written permission. Some presentation documents may contain copyrighted or stock images used for visual inspiration only and not licensed for public use.

IMAGES

Any images you supply must be high resolution and include written permission from the photographer. George Design is not responsible for any copyright breaches arising from supplied imagery.

We can source licensed stock imagery on your behalf. Full payment is required before high-resolution stock images are downloaded.

PROOFING AND APPROVAL

We produce artwork based on your approved content. While we take great care with quality control, it is your responsibility to check and sign off on final proofs. Approval must be provided in writing before any production begins.

George Design is not liable for errors in the final output if those errors appeared in the approved proof.

CREATIVE JUDGEMENT & CLIENT FEEDBACK

The client acknowledges that branding, marketing, design and strategic work involve professional creative judgement and subjective interpretation.

George Design delivers work based on the agreed brief, research, commercial strategy and industry expertise. Throughout the project, clients are prompted to review and provide feedback at key stages. Timely, clear feedback and formal approvals form an essential part of the project process and progression.

The client accepts responsibility for actively participating in the feedback and approval process. Failure to raise concerns, provide direction, or engage with review stages does not constitute grounds for disputing completed work or withholding payment.

Disagreement with creative style, aesthetic preference or commercial direction after feedback opportunities have been provided does not constitute project failure.

FILE SUPPLY

Logo files are supplied electronically in standard print and web formats. Print-ready files are provided as high-res PDFs with bleed and crop marks. If you require specific formats, please let us know upfront. Source files remain the property of George Design unless otherwise agreed.

FILE STORAGE

You are responsible for downloading and storing all files we supply. File-sharing links are temporary. We recommend saving all project files to your own secure cloud storage system. George Design is not liable for lost files after project completion.

PRIVACY

We value your privacy. All personal or business information provided to George Design will remain confidential and only used for the purposes of delivering your project. No information will be shared with third parties without your written consent.

SUBCONTRACTORS

George Design reserves the right to use subcontractors to complete your project if required.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, George Design’s total liability arising out of or in connection with any services provided, whether in contract, tort (including negligence), equity or otherwise, shall be limited to three (3) times the total fees paid by the client for the relevant project or NZD $60,000, whichever is lower.

George Design shall not be liable for any indirect, consequential or economic loss, including but not limited to loss of profits, revenue, data, business opportunities, marketing performance, advertising outcomes, or anticipated savings.

DIGITAL SECURITY

If we have been granted access to any digital assets (including social media, advertising accounts, or websites) and have not actively worked on them for a period of 60 days, we will remove our access to maintain account security.


PROJECT PAUSE, CANCELLATION & TERMINATION

Once a project has commenced and studio time has been scheduled, the client acknowledges that George Design has committed internal resources, creative time and strategic input.

The client may choose to pause or cancel a project at any time. George Design also reserves the right to pause or terminate an engagement in the event of non-payment, unreasonable delays, breakdown of communication, or a material change in project scope or working relationship.

If a project is paused, cancelled or terminated for any reason, the following will apply:

• All deposits are non-refundable.

• The client will be invoiced for all work completed to date, including strategy, creative development, revisions, meetings, administration and project management.

• For fixed-price projects, George Design reserves the right to invoice a pro-rated portion of the total project fee based on progress completed, even if final deliverables have not yet been supplied.

• George Design is not required to provide further revisions, alternate concepts or continued delivery once a cancellation or termination request has been made.

• All work produced remains the intellectual property of George Design until payment has been received in full.

If outstanding invoices remain unpaid:

• George Design reserves the right to suspend services or remove digital deliverables from public access, including websites or campaign assets.

• A late payment fee of 5% may be applied to overdue amounts.

• The client is liable for all debt recovery costs, including legal fees and collection agency expenses.
